DietHelper General Terms and Conditions of Sale

1. Identification of the seller
These General Terms and Conditions of Sale are entered into between:

DietHelper is a trade name used by Peene Ludovic. In the event of any subsequent official registration of this name, of an associated trademark, or of any change in commercial identity, these terms and conditions may be updated without affecting the validity of orders already concluded.
The seller is hereinafter referred to as “DietHelper”.
2. Purpose of these General Terms and Conditions of Sale
These General Terms and Conditions of Sale define the conditions applicable to the sale, delivery, access to, and commercial use of the products and services offered by DietHelper, including in particular:
the DietHelper Offline software;
DietHelper Basic licences;
DietHelper Premium licences;
access to BodyMetrics Free;
the BodyMetrics Pro subscription;
the DietHelper Premium offer including 12 months of access to BodyMetrics Pro;
the Coach Power Pack;
training courses, educational materials, assistance services, and any associated physical products.
These Terms and Conditions apply to any order placed with DietHelper, regardless of the Client’s country of residence or establishment, subject to any mandatory provisions that may apply in the consumer’s country.
3. Definitions
For the purposes of these terms and conditions, the following terms shall have the meanings set out below.
Client: any natural or legal person placing an order with DietHelper.
Consumer Client: any natural person purchasing a DietHelper product or service for private use, outside any professional activity.
Professional Client: any natural or legal person purchasing a DietHelper product or service in the course of their professional activity, including sports coach, personal trainer, nutrition coach, studio, fitness centre, coaching team, company, association, self-employed person, or organised structure.
DietHelper Offline: nutrition planning software running on Windows PC, based on a compiled Excel/VBA architecture, protected by a licensing system, and delivered as a digital file.
DietHelper Basic: lifetime DietHelper Offline licence, linked to one single user and one single computer, in accordance with the conditions set out in these Terms and Conditions.
DietHelper Premium: lifetime DietHelper Offline licence including, depending on the applicable commercial offer, 12 months of access to BodyMetrics Pro, subject to the conditions set out in these Terms and Conditions.
BodyMetrics Free: a set of free online tools offered by DietHelper, accessible without a paid subscription, with limited or evolving features.
BodyMetrics Pro: paid digital service offered by monthly or annual subscription, granting access to advanced BodyMetrics tools.
Coach Power Pack: a specific offer reserved for fitness centres, studios, and officially structured teams of personal trainers, including named licences installed on a dongle medium, in accordance with the specific conditions set out in these Terms and Conditions.
Licence: a personal, limited, non-exclusive, non-assignable, and non-transferable right to use a DietHelper product under the conditions set out in these Terms and Conditions.
Machine ID: technical identifier generated from the computer used for the activation of DietHelper Offline.
.rkey file: personalised licence file allowing activation of DietHelper Offline on the authorised computer.
Activation: operation allowing the use of DietHelper Offline by means of the .rkey file generated for the Client and the authorised computer.
Active subscription: BodyMetrics Pro subscription that has not been cancelled, interrupted, suspended, and is not subject to payment default, subject to the single pause that may be authorised under these Terms and Conditions.
4. Status of the Client: consumer or professional
Where the Client places an order in the course of their professional activity, including as a coach, personal trainer, studio, fitness centre, company, self-employed person, or organised structure, the Client acknowledges acting as a Professional Client.
Where the Client provides a company number, requests a professional invoice, uses DietHelper or BodyMetrics to support their own clients, or orders an offer intended for professionals, they are presumed to be acting in a professional capacity.
In such case, the provisions specifically applicable to consumers, including those relating to the right of withdrawal, shall not apply, unless otherwise required by mandatory legal provisions.
The Coach Power Pack is strictly reserved for fitness centres, studios, and officially structured teams of personal trainers. DietHelper reserves the right to refuse any Coach Power Pack order that does not meet these criteria.
5. Products and services offered
5.1 DietHelper Offline Basic
DietHelper Basic is a lifetime licence for DietHelper Offline, linked to one single user and one single computer.
The licence allows the Client to use DietHelper to create food plans, nutrition documents, and working materials for their own clients, for personal or professional use in accordance with these Terms and Conditions.
The Basic licence does not allow:
use by multiple users;
installation on multiple computers;
sharing of the file;
making the file available to a third party;
collective use in a gym, studio, or multi-coach structure;
resale, rental, or assignment of the licence.
5.2 DietHelper Offline Premium
DietHelper Premium is a lifetime licence for DietHelper Offline, linked to one single user and one single computer.
Depending on the applicable commercial offer, DietHelper Premium also includes 12 months of access to BodyMetrics Pro from the delivery date of DietHelper Premium.
If the Client does not use or activate their BodyMetrics Pro access during this period, the unused months shall be forfeited. No carry-over, refund, or extension shall be due.
At the end of the included 12 months, BodyMetrics Pro does not automatically become chargeable. The Client must voluntarily subscribe to a paid subscription if they wish to continue using BodyMetrics Pro.
5.3 BodyMetrics Free
BodyMetrics Free is a set of free tools that may include in particular:
BMI and health;
bone frame size;
macro calculator with limited database;
short version of CircaTest;
PLC widget;
Tempo widget;
Tabata Timer;
HIIT Timer.
The exact features of BodyMetrics Free may evolve over time.
BodyMetrics Free is currently accessible without account creation for certain features. However, DietHelper reserves the right to make all or part of the free access conditional upon the creation of a user account, including for reasons of security, personalisation, usage monitoring, commercial management, or service improvement.
BodyMetrics Free may be modified, suspended, or removed at any time. Free access does not create any acquired right to the permanent, free, or unchanged maintenance of the service.
5.4 BodyMetrics Pro
BodyMetrics Pro is a paid digital service offered by monthly or annual subscription.
It gives access to advanced tools, including, depending on the applicable offer:
full CircaTest;
dietary needs assessments;
advanced BodyMetrics features;
exports or downloads provided by the interface.
The exact features are described on the corresponding commercial pages.
BodyMetrics Pro does not include any downloadable software file. It is an online service accessible via the DietHelper website.
5.5 Coach Power Pack
The Coach Power Pack is reserved for fitness centres, studios, and officially structured teams of personal trainers.
Coach Power Pack licences may be installed on a dongle medium and configured in the name of an identified coach. The coach’s name may appear on generated or printed documents.
If a coach leaves the structure, it is the responsibility of management to recover the dongle medium and return it to DietHelper so that a new key or licence can be generated for another authorised coach.
In the event of return of the medium, administrative, technical, and shipping fees may be charged. The current fee is €99.00 including VAT.
In the event of non-return of the medium, the request shall be treated as a new licence and may be charged at the Basic rate in force at the time of the request.
6. Lifetime licence: scope and limits
The term “lifetime licence” means that the Client benefits from a right to use the relevant DietHelper Offline software without a recurring subscription for that Offline licence, for as long as:
the Client complies with these Terms and Conditions;
the software remains technically usable in its environment;
the file, licence, and authorised computer remain available;
DietHelper is still able to provide the necessary technical services.
The lifetime licence does not mean:
a guarantee of eternal updates;
a guarantee of compatibility with all future Windows systems;
a guarantee of unlimited recompilation;
a guarantee of permanent generation of new .rkey files;
a guarantee of eternal maintenance of BodyMetrics Free or Pro;
a guarantee that DietHelper’s activity will continue without time limitation.
In the event of the definitive cessation of DietHelper’s activity, DietHelper shall no longer be required to generate new .rkey files, carry out new activations, provide new versions, maintain BodyMetrics Free or BodyMetrics Pro, or provide future technical services.
The rights already granted in respect of the delivered file remain subject to the technical and contractual limits of the initial licence.
7. Prices, VAT, and currencies
The prices displayed to the Client are expressed inclusive of all taxes, unless expressly stated otherwise.
The applicable VAT is mentioned on the invoice when it is issued.
DietHelper reserves the right to offer different prices depending on countries, markets, currencies, languages, commercial offers, promotional periods, or sales channels.
The prices currently planned for BodyMetrics Pro include in particular:
Standard Europe price
€24.99 including VAT per month;
€249.00 including VAT per year.
Rate reserved for eligible DietHelper Premium Clients
€19.99 including VAT per month;
€199.00 including VAT per year.
This rate is reserved for Clients who have purchased DietHelper Premium and comply with the conditions set out in these Terms and Conditions.
Standard Thailand price
THB 950 per month;
THB 9,500 per year.
Thailand rate reserved for eligible DietHelper Premium Clients
THB 650 per month;
THB 6,500 per year.
DietHelper bears any exchange fees related to collection where payment is collected directly in the currency offered by DietHelper.
Any bank charges, card fees, or conversion fees applied by the Client’s bank, card issuer, or payment service provider remain payable by the Client.
DietHelper reserves the right to modify its prices at any time. The applicable price is the one displayed or communicated at the time of the order, except in the case of a manifest error.
8. Payment methods
Accepted payment methods may include:
Stripe;
bank card;
Bancontact;
PayPal;
bank transfer.
The management of online subscriptions and payments may be carried out via Paid Member Subscriptions or any other payment or subscription management system used by DietHelper.
No complete banking data is stored directly by DietHelper. Payments are processed by the relevant payment service providers.
The order is considered validated only after effective confirmation of payment.
In the event of payment by bank transfer, DietHelper may wait for effective receipt of the funds before any delivery, activation, or opening of access.
9. Invoicing
Invoices may be generated automatically or manually depending on the payment method and the system used.
A Professional Client may request an invoice with VAT details by e-mail at contact@diethelper.coach or via the payment system where this functionality is available.
The Client is responsible for providing accurate and complete invoicing information.
DietHelper shall not be held liable for any invoicing error resulting from incorrect or incomplete information provided by the Client.
10. DietHelper Offline ordering process
DietHelper Offline may be ordered through different commercial paths.
10.1 Path after trial version
The Client may download a free trial version of DietHelper.
Before the end of the trial, DietHelper may send the Client an e-mail containing:
a file or procedure allowing generation of the Machine ID;
a request to provide the first name and last name to appear in the software and on the generated documents;
a temporary commercial offer, for example a 5% discount.
After payment and receipt of the necessary information, DietHelper prepares the personalised file and generally sends it within an indicative period of 48 business hours.
The .rkey file may then be generated after receipt or confirmation of the Machine ID.
10.2 Path without prior trial version
The Client may also purchase DietHelper without having previously used the trial version.
In this case, DietHelper may ask the Client:
to confirm the first name and last name to appear in the software and on the generated documents;
to confirm their technical environment;
to acknowledge that they were invited to test the free trial version;
to confirm, where they are a consumer, their express agreement to digital delivery before the end of the withdrawal period and the loss of their right of withdrawal after the .rkey file has been sent.
After validation of payment and receipt of the necessary information, DietHelper generally sends the software within an indicative period of 48 business hours. The .rkey file is generally generated within an indicative period of 24 business hours after receipt of the necessary technical information.
These periods are indicative and apply only on business days. No urgent activation is guaranteed.
11. Digital delivery of DietHelper Offline
DietHelper Offline is delivered as a digital file, generally by e-mail.
The Client receives in particular:
a .zip file containing the .exe software;
a user manual or support material;
a .rkey file sent separately when the activation conditions are met.
The Client is solely responsible for:
proper receipt of e-mails;
checking their spam or junk folder;
retaining the file received;
backing up the .zip file, the .exe file, the manual, and the .rkey file;
protecting these files against loss, deletion, corruption, or unauthorised access.
DietHelper does not guarantee unlimited retention of delivered files.
For as long as DietHelper exists and technically has the necessary elements, a resend, new generation, or file recovery may be offered against payment of the fees in force. The current fee is €99.00 including VAT.
12. Software personalisation
At the time of order or activation, the Client may be invited to provide the first name and last name that must appear:
in the software interface;
on the generated documents;
on the diets or materials given to their clients.
The Client is solely responsible for the accuracy of the information provided.
Once the personalised file has been generated, any correction, modification, or new generation may be charged at the rate in force.
DietHelper reserves the right to refuse any personalisation that is manifestly abusive, misleading, unlawful, infringes the rights of a third party, or is likely to create confusion as to the identity of the authorised user.
13. Activation, Machine ID, and .rkey file
Activation of DietHelper Offline is based on a Machine ID generated from the Client’s computer.
The Client must provide their Machine ID to DietHelper by e-mail or through any other procedure indicated by DietHelper.
DietHelper then generates a personalised .rkey file allowing activation of DietHelper Offline on the authorised computer.
The Machine ID may be retained for 10 years in order to manage:
activations;
support requests;
computer change requests;
fraud prevention;
licence history;
contractual and evidentiary obligations.
Sending the .rkey file constitutes an essential step in delivery and activation.
Once the .rkey file has been sent, the licence is considered consumed, subject to applicable mandatory provisions.
14. Start of the licence
The DietHelper Offline licence begins on the date the file is sent to the Client, and not on the date of first opening, first use, or first effective activation.
The Client may not request any postponement of the licence due to:
a delay in opening their e-mails;
failure to download;
non-use of the software;
personal unavailability;
an error in the information they provided;
a delay in communicating their Machine ID.
15. Technical compatibility of DietHelper Offline
DietHelper Offline is designed to run only on Windows PC.
The officially supported minimum configuration is:
Windows PC;
Windows 10 minimum;
non-virtualised local environment.
DietHelper Offline is not designed to run on:
macOS;
iPadOS;
iOS;
Android;
Chromebook;
Linux;
virtual machines;
emulators;
Wine, Parallels, or equivalent environments;
locked professional systems preventing normal execution;
network or corporate security environments blocking the necessary files.
DietHelper Offline is signed with a Sectigo certificate. Despite this signature, Windows SmartScreen, Windows Defender, antivirus software, a firewall, or a third-party security system may display a warning or block execution.
The Client is responsible for verifying the compatibility of their technical environment before any purchase, in particular by means of the free trial version made available.
The incompatibility of a non-compliant, untested, or unsupported system does not constitute grounds for a refund after the .rkey file has been sent.
16. Free trial version of DietHelper Offline
DietHelper may offer a free trial version of DietHelper Offline.
This trial version allows the Client to verify:
the compatibility of their computer;
the software’s ability to run;
general understanding of how it works;
the suitability of the product for their needs.
The trial version may be limited in time, in its features, or in its printing, export, or usage possibilities.
The trial is personal, non-transferable, and limited to legitimate use.
It is prohibited to multiply trials, circumvent technical restrictions, share the trial link, modify files, or misuse the activation system.
DietHelper strongly recommends that every Client test the trial version before purchase.
17. Change of computer
The DietHelper Offline licence is linked to one single computer.
No free change of computer is included, unless otherwise stated in writing in a commercial offer.
In the event of a change of computer, breakage, replacement, hardware upgrade, file loss, reinstallation, or request for new activation, the Client may request a new generation of the file or .rkey file.
This service is manual, non-automatic, and chargeable. The current fee is €99.00 including VAT.
DietHelper reserves the right to modify this fee at any time for future requests.
DietHelper also reserves the right to refuse any request for new activation or computer change in the event of suspected abuse, fraud, sharing, licence circumvention, technical inconsistency, or non-compliant use.
No urgent activation is guaranteed.
18. Prohibition on transfer to a third party
The DietHelper Offline licence is personal, non-assignable, and non-transferable.
It is strictly prohibited to:
sell a computer containing DietHelper;
transfer DietHelper to a third party;
assign one’s licence;
rent out one’s licence;
lend one’s licence;
share one’s .exe file;
share one’s .rkey file;
transfer the .zip file;
allow use by an unauthorised colleague, employee, collaborator, or third party.
In the event of the sale, assignment, or transfer of a computer containing DietHelper, the Client must permanently delete the software, associated files, copies, .rkey files, and any element allowing the use of DietHelper.
Discovery of an unauthorised transfer may be treated as fraudulent use and may give rise in particular to:
suspension of support;
refusal of new activation;
deactivation of associated access;
billing of an additional licence at the DietHelper Premium rate in force;
civil or criminal proceedings, depending on the seriousness of the facts.
19. BodyMetrics Pro subscription
BodyMetrics Pro is offered as a monthly or annual subscription.
Unless otherwise stated, the subscription is automatically renewed for each period until cancelled by the Client or stopped in accordance with these Terms and Conditions.
The Client may cancel their subscription at any time.
Cancellation takes effect at the end of the period already paid for. No pro rata temporis refund is due for a period that has started, unless otherwise required by mandatory legal provisions or in the event of a proven payment error.
Access to BodyMetrics Pro remains open until the end of the paid period, unless suspended for fraud, abuse, breach of these Terms and Conditions, abusive chargeback, or unauthorised use.
20. BodyMetrics Pro payment default
In the event of payment failure, the system may make further attempts over a period of 3 days.
If payment is not regularised within this period, the subscription may be stopped or suspended automatically.
Stopping the subscription results in loss of access to BodyMetrics Pro features.
In the event of a disputed payment, abusive chargeback, fraud, or attempt to circumvent payment, DietHelper reserves the right to immediately suspend access to the relevant account, licence, or services, without refund.
21. BodyMetrics Pro subscription pause
DietHelper may authorise a BodyMetrics Pro subscription pause once only during the entire term of the subscription.
The maximum duration of this pause is 3 months.
The pause must be requested in accordance with the procedure communicated by DietHelper and becomes effective only after acceptance or confirmation by DietHelper.
The authorised pause does not constitute an interruption of the subscription for the purposes of the guaranteed DietHelper Premium rate, provided that the Client effectively resumes their subscription at the end of the agreed pause.
Any unauthorised interruption, cancellation, payment default, or failure to resume after the pause results in loss of the preferential rate.
22. Preferential BodyMetrics Pro rate for DietHelper Premium Clients
Clients who have purchased DietHelper Premium may benefit, after the included 12 months of BodyMetrics Pro access, from a preferential BodyMetrics Pro rate.
To benefit from this rate, the Client must voluntarily subscribe to BodyMetrics Pro before the expiry of the included period or within the applicable grace period.
The grace period is 30 days after the end of the included 12 months.
Failing subscription within this period, the Client loses the benefit of the preferential rate and will be subject to the standard rate in force.
The preferential rate is maintained only for as long as the BodyMetrics Pro subscription remains active, without interruption, cancellation, payment default, or unauthorised suspension.
In the event of cancellation, interruption, payment default, or loss of eligibility, the Client reverts to the standard rate in force.
The preferential rate of €19.99 including VAT/month or €199.00 including VAT/year is locked only for DietHelper Premium Clients who have effectively subscribed to this rate under the required conditions and have never interrupted their subscription, except for the single authorised pause.
In Thailand, the preferential rate of THB 650/month or THB 6,500/year is subject to the same conditions.
23. BodyMetrics Pro access included with DietHelper Premium
The BodyMetrics Pro access included with DietHelper Premium begins on the delivery date of DietHelper Premium.
The included duration is 12 months.
This period begins even if the Client does not immediately create their access, does not log in, does not use BodyMetrics Pro, or does not activate the available features.
Unused months are forfeited.
No extension, compensation, discount, conversion into credit, or refund shall be granted for total or partial non-use of the included access.
At the end of the included period, BodyMetrics Pro access ends automatically, unless the Client voluntarily subscribes to a paid subscription.
DietHelper may send reminders by e-mail before expiry of the included period in order to inform the Client of subscription options.
24. Use of BodyMetrics Free and BodyMetrics Pro
BodyMetrics Free and BodyMetrics Pro are tools designed to assist with analysis, estimation, and decision-making.
Data entered by the user in BodyMetrics tools may include in particular:
last name;
first name;
e-mail;
age;
sex;
height;
weight;
measurements;
goals;
data relating to physical condition or health.
No photo is provided for in the BodyMetrics tools.
Unless expressly stated otherwise, data entered in BodyMetrics calculators and tools is processed locally in the user’s browser and is not stored on DietHelper servers.
The Client is solely responsible for:
the accuracy of the data entered;
the use made of the results;
the interpretation of the outputs;
verification of the relevance of the recommendations;
compliance with their own obligations towards their clients, patients, members, or end users.
DietHelper shall not be held liable for any incorrect, incomplete, unexpected, or unsuitable result arising from inaccurate, incorrectly entered, incomplete, or misinterpreted data.
In the event of a manifestly unexpected output or proven technical error, DietHelper shall use its best efforts to analyse and correct the issue within a reasonable period, without any guarantee of immediate result.
25. Medical, nutritional, and sports-related limitations
DietHelper, BodyMetrics Free, and BodyMetrics Pro are tools designed to assist with nutrition planning, body estimation, analysis, and decision-making.
They do not constitute in any way:
a medical device;
a diagnostic tool;
medical treatment;
a medical prescription;
pathological care;
a substitute for a healthcare professional;
a guarantee of weight loss;
a guarantee of sports performance;
a guarantee of aesthetic, physical, clinical, or metabolic results.
The results provided are indicative and depend directly on the data entered by the user.
Persons with a pathology, medical treatment, pregnancy, eating disorder, specific clinical situation, or medical doubt must consult a qualified healthcare professional before making any nutrition or sports-related decision.
Minors may use the tools only under the supervision of a responsible adult, a competent professional, or within an authorised framework.
Professional Clients remain solely responsible for the advice, adaptations, decisions, food plans, or recommendations they provide to their own clients.
26. Formulas, calculations, and adaptations
The formulas, methods, calculations, ratios, weightings, algorithms, and internal logic used by DietHelper and BodyMetrics are part of DietHelper’s own design or of public sources that have been integrated and structured.
Internal nutritional formulas are not freely modifiable by the Client, unless a functionality is expressly provided in the interface.
The Client may not require access to internal formulas, source codes, calculation logic, macros, the protected structure of the software, or technical elements enabling reproduction of the system.
DietHelper may develop its formulas, modules, or methods over time in order to improve the service, correct errors, adapt the product, or modify its positioning.
27. Food databases and data sources
DietHelper may use or integrate data from public or accessible food databases, including CIQUAL, McCance, ASEAN Foods, nEVO, or any other relevant source.
These sources remain subject to their own terms of use, licences, and limitations.
The user may access these sources by their own means where they are freely accessible.
DietHelper does not claim exclusive ownership of public food data as such.
However, the selection, organisation, integration, structuring, interfaces, methods of use, calculations, combinations, tools, models, and DietHelper software experience remain protected.
28. Intellectual property
The DietHelper website, DietHelper Offline software, BodyMetrics, interfaces, texts, methods, documents, materials, files, models, licensing systems, structures, commercial signs, and graphic elements are protected by intellectual property law.
Unless otherwise stated, they are the property of Peene Ludovic or are used with authorisation, under licence, or on the basis of accessible sources.
The following commercial signs are used in particular by DietHelper:
BodyMetrics;
BodyFat Blueprint;
EnergyScope;
CircaTest;
MacroScan;
MyoFiber;
Method 1%;
DietHelper.
These commercial signs are not necessarily registered trademarks, unless subsequently stated otherwise, but their unauthorised use is prohibited where it creates confusion, parasitic reproduction, or infringement of DietHelper’s rights.
29. Strict prohibitions
It is strictly prohibited to:
copy DietHelper Offline;
share the .exe file;
share the .zip file;
share the .rkey file;
resell the software;
rent out the software;
make the software available to a third party;
use one licence for multiple users;
install one licence on multiple computers without authorisation;
allow an employee, colleague, or collaborator to use a licence not intended for them;
extract the formulas;
extract the structured databases;
reproduce the internal methods;
carry out reverse engineering;
decompile;
circumvent DoneEX, Sectigo, the protection system, or the licensing system;
modify the file;
alter the protections;
distribute an .rkey key;
share a BodyMetrics account;
resell BodyMetrics access;
automate access without authorisation;
misuse the tools for fraudulent, illegal, or competing purposes.
Any breach may result in:
immediate suspension of access;
refusal of support;
refusal of new activation;
refusal of future generation of an .rkey file;
deactivation of the relevant access;
absence of refund;
billing of licences improperly used;
civil or criminal proceedings.
30. BodyMetrics account sharing
The BodyMetrics Pro account is personal.
Account sharing is prohibited.
A coach may use BodyMetrics Pro for an unlimited number of clients, unless otherwise stated in a commercial offer, but may not transfer their account, login credentials, or access to a third party.
DietHelper reserves the right to suspend or close an account in the event of reasonable suspicion of sharing, resale, abusive automation, unauthorised collective use, or misuse of the service.
31. Local data, accounts, and deletion
Data entered in BodyMetrics tools to perform calculations or analyses is, unless otherwise stated, processed locally in the user’s browser.
DietHelper does not store on its servers the client data entered in these tools, except where this functionality is expressly provided and accepted.
Data relating to user account management, subscription, payment, invoicing, support, and licence management may be retained by DietHelper for the periods necessary for contractual, tax, evidentiary, and legal purposes.
The user may request deletion of their account and data, subject to data that DietHelper must retain in order to comply with its legal, tax, accounting, contractual, or evidentiary obligations.
Invoicing data, payment data, and accounting documents may be retained for 10 years.
Licence data, Machine ID, activation history, and contractual evidence may also be retained for 10 years.
Terminated or inactive BodyMetrics accounts may be retained for up to 3 years after the last activity or the end of the subscription, in order to allow reactivation, support, contractual proof, and customer relationship management, except where an applicable deletion request is made and except where a contrary legal obligation applies.
Local data stored in the browser falls under the user’s device. The user is responsible for deleting it via their browser, device, or local settings.
32. Maintenance, availability, and evolution of online services
DietHelper provides BodyMetrics Free and BodyMetrics Pro under a reasonable best-efforts obligation.
DietHelper does not guarantee permanent, continuous, uninterrupted, or error-free availability.
Temporary interruptions may occur for:
maintenance;
updates;
correction;
improvement;
security;
change of hosting provider;
technical incident;
server outage;
service provider intervention;
force majeure.
Temporary interruptions, maintenance, or reasonable unavailability do not give rise to automatic subscription extension, refund, or compensation.
However, in the event of a serious and persistent defect affecting a paid digital service, DietHelper shall use its best efforts to restore the service, correct the issue, or propose an appropriate solution, subject to the mandatory rights applicable to the Consumer Client.
DietHelper does not provide any SLA, unless specifically agreed in writing.
33. Modification of features
DietHelper may modify BodyMetrics Free at any time.
DietHelper may also add, modify, replace, or remove certain BodyMetrics Pro modules, provided that the essential paid features remain available during the paid period or that a reasonably equivalent alternative is offered.
The modifications may aim in particular to:
improve the service;
correct errors;
strengthen security;
simplify the user experience;
adapt the product to the market;
remove an obsolete feature;
replace a module with a more relevant version.
No free feature creates any acquired right to its permanent maintenance.
34. Technical support
DietHelper Offline support mainly covers:
installation;
activation;
receipt of the file;
difficulties related to the .rkey file;
technical issues directly attributable to DietHelper in a supported environment.
BodyMetrics Pro support covers questions relating to account access, subscription, and the general functioning of the tools, within the limits of explanations already provided on the relevant pages.
Support is provided only by e-mail at contact@diethelper.coach.
The indicative response time is 72 business hours.
Support is provided only on business days.
No urgent, telephone, evening, weekend, or public holiday support is guaranteed.
35. Support exclusions
DietHelper may refuse or limit support where the issue results in particular from:
pirated, modified, or unofficial Windows;
an unsupported environment;
a locked professional computer;
a restrictive corporate network;
blocking antivirus software;
blocking firewall;
third-party security system;
virtual machine;
emulator;
modified file;
file moved, deleted, or corrupted by the Client;
incorrect handling;
absence of backup;
unauthorised sharing;
use contrary to these Terms and Conditions.
In such cases, resending the source file, initial file, or .rkey file may be offered only against payment of the fees in force, currently €99.00 including VAT, and subject to technical feasibility.
36. Right of withdrawal — Consumer Clients
In accordance with the law applicable to distance contracts, the Consumer Client is in principle entitled to a withdrawal period of 14 calendar days.
However, this right may be lost under the conditions provided by law, in particular where the Consumer Client expressly requests the immediate supply of digital content or a digital service before the end of the withdrawal period and acknowledges losing their right of withdrawal after full performance or delivery of the relevant content.
For DietHelper Offline, the Consumer Client acknowledges that sending the .rkey file allows activation of the software and renders the licence technically consumed.
Before sending the .rkey file, DietHelper may ask the Consumer Client to expressly confirm:
that they wish to receive the file or activation before the end of the statutory withdrawal period;
that they understand that sending the .rkey file makes the purchase irrevocable;
that they waive their right of withdrawal after the .rkey file has been sent;
that they were invited to test the free trial version before purchase.
If the Consumer Client refuses this confirmation, DietHelper may wait until expiry of the 14-day period before sending the .rkey file, or cancel the order before activation.
Before the .rkey file is sent, the Consumer Client may request cancellation of their order, provided that no .rkey file has yet been generated or sent and that no activation has been carried out.
After the .rkey file has been sent, no right of withdrawal may be exercised for DietHelper Offline, unless otherwise required by mandatory legal provisions.
For BodyMetrics Pro, where the Consumer Client requests immediate access to the service before expiry of the statutory withdrawal period, they acknowledge that performance of the service begins upon validation of payment and effective opening of access.
Where permitted by law, the Consumer Client acknowledges losing their right of withdrawal for the subscription period started as soon as effective access to BodyMetrics Pro is opened.
If DietHelper does not obtain this express confirmation, DietHelper may wait until expiry of the statutory withdrawal period before opening access to the service, or apply the applicable mandatory legal rules.
37. Absence of right of withdrawal — Professional Clients
The Professional Client does not benefit from the right of withdrawal reserved for consumers.
Any order placed by a Professional Client is firm and final upon validation of payment, unless DietHelper agrees otherwise in writing.
This rule applies in particular to coaches, personal trainers, fitness centres, studios, companies, professional teams, and structures ordering in the course of their activity.
38. DietHelper Offline refund policy
No refund is granted after the .rkey file has been sent.
Non-use of the software, absence of installation, version error, technical incompatibility of an unsupported environment, absence of trial version testing, misunderstanding of the product, or change of mind do not constitute grounds for a refund after the .rkey file has been sent.
Before the .rkey file is sent, DietHelper may accept cancellation if:
the .rkey file has not yet been sent;
no activation has been carried out;
no fraud or attempted abuse is suspected;
the request is made before final generation of the licence.
Promotional products, temporary discounts, special offers, or negotiated offers are non-refundable after delivery or activation.
39. BodyMetrics Pro refund policy
For BodyMetrics Pro, subscription periods that have started are non-refundable, unless there is a proven payment error, duplicate payment, or mandatory legal provision to the contrary.
Cancellation takes effect at the end of the period already paid for.
No pro rata temporis refund is granted in the event of:
non-use;
partial use;
change of mind;
failure to cancel;
loss of interest in the service;
misinterpretation of the features;
reasonable temporary interruption of the service.
In the event of duplicate payment, DietHelper refunds the excess payment, either after internal finding or at the Client’s request.
40. Legal guarantee of conformity
For Consumer Clients, the digital content and digital services provided by DietHelper benefit from the legal guarantee of conformity under the conditions provided by applicable law.
This guarantee does not cover:
issues resulting from an unsupported environment;
systems that do not comply with the prerequisites;
Client encoding errors;
incorrect handling;
unauthorised modifications;
uses contrary to these Terms and Conditions;
expectations not provided for in the commercial offer;
data loss due to absence of backup;
incompatibilities that could have been detected via the trial version.
In the event of a proven defect attributable to DietHelper, the Client must contact support at contact@diethelper.coach, providing a precise description of the issue, any screenshots, their technical environment, and the information necessary for analysis.
DietHelper has a reasonable period to analyse, correct, work around, or propose a solution.
A technical issue does not automatically give rise to a right to a refund, unless there is a persistent impossibility of providing a solution compliant with the Consumer Client’s mandatory rights.
41. Backups and Client liability
The Client is solely responsible for backing up:
the .zip file received;
the .exe file;
the .rkey file;
manuals;
exports;
generated data;
documents provided to their clients;
local data stored on their computer or browser.
DietHelper does not provide automatic external backup for DietHelper Offline.
DietHelper shall not be held liable for partial or total loss of data resulting in particular from:
accidental deletion;
incorrect handling;
file corruption;
formatting;
computer failure;
change of computer;
antivirus software;
Windows update;
unstable environment;
absence of personal backup.
The Client must keep several backup copies on secure media.
42. Possible physical products
Where DietHelper sells or includes physical products, such as a USB key, syllabus, book, calliper, measuring tape, or printed material, the specific conditions indicated at the time of order apply.
Personalised, opened, unsealed, used, damaged, or incomplete products cannot be refunded, unless otherwise required by mandatory legal provisions.
Return costs may be charged to the Client where the return is not due to an error by DietHelper or a proven defect.
In the event of an accepted return, the refund may be deferred until the returned product has been received and checked.
43. Refusal of order, suspension, and termination
DietHelper reserves the right to refuse an order, suspend access, refuse activation, or terminate a commercial relationship where there is a legitimate reason, including in particular:
fraud;
attempted fraud;
prior dispute;
unpaid amount;
abusive chargeback;
aggressive behaviour;
insults;
threats;
attempt to circumvent the licence;
unauthorised sharing;
false information;
use contrary to these Terms and Conditions;
legal or technical risk.
In the event of a serious breach of these Terms and Conditions, DietHelper may suspend or deactivate the relevant access without refund.
44. Commercial gestures
DietHelper may, on an exceptional and discretionary basis, grant a commercial gesture, partial refund, extension, discount, new activation, or additional assistance.
Any commercial gesture is granted on a case-by-case basis, after analysis of the situation.
A commercial gesture never constitutes:
an acknowledgement of liability;
a permanent modification of these Terms and Conditions;
an acquired right for the Client concerned;
a right for other Clients;
a waiver by DietHelper of the right to strictly apply these Terms and Conditions in the future.
45. Communications and evidence
Communications between DietHelper and the Client may be made by e-mail.
The Client accepts that the following elements may serve as evidence:
exchanged e-mails;
order confirmations;
invoices;
payment histories;
technical logs;
Machine ID;
activation history;
subscription history;
Stripe, PayPal, Bancontact, or equivalent provider data;
download traces;
screenshots and technical elements related to support.
The Client is responsible for providing a valid, accessible, and regularly checked e-mail address.
46. Personal data
DietHelper processes certain personal data necessary for the order, invoicing, activation, support, subscription management, and fraud prevention.
Personal data processing is detailed in the Privacy Policy available on the DietHelper website.
In the event of contradiction between these Terms and Conditions and the Privacy Policy, the Privacy Policy prevails for matters relating to the processing of personal data.
47. Force majeure
DietHelper shall not be held liable for any delay, interruption, non-performance, or impossibility of performance resulting from an event reasonably beyond its control.
The following are considered in particular to be force majeure events or equivalent circumstances:
major server outage;
cyberattack;
hosting outage;
service provider interruption;
natural disaster;
fire;
flood;
conflict;
administrative decision;
pandemic;
external technical impossibility;
general Internet outage;
blocking by a payment service provider;
event seriously affecting DietHelper’s activity.
48. Modification of the Terms and Conditions
DietHelper reserves the right to modify these Terms and Conditions at any time.
The version applicable to an order is the version in force at the time of the order, unless otherwise agreed or applied to future services.
These Terms and Conditions also apply to future services, renewals, online access, support services, transfer requests, new activations, computer changes, file resends, subscriptions, and updates carried out after their entry into force.
They do not call into question rights definitively acquired under an order already performed, unless otherwise agreed, in the case of modification of a future service, or where required by applicable legal provisions.
In the event of a substantial modification concerning an active subscription, DietHelper may inform the Client by e-mail or via the website.
Continued use of the service after the new terms and conditions enter into force constitutes acceptance thereof, subject to applicable mandatory rights.
49. Applicable law
These Terms and Conditions are governed by Belgian law.
For Consumer Clients residing in another country, this clause does not deprive the Client of the protection of the mandatory provisions applicable in their country of residence where such provisions cannot be contractually excluded.
50. Amicable settlement and mediation
In the event of a dispute, the Client is invited to contact DietHelper at contact@diethelper.coach in order to seek an amicable solution.
The parties undertake to attempt to resolve the dispute in good faith before any legal action, except in cases of urgency, unpaid amounts, fraud, infringement of intellectual property rights, licence breach, or need for protective measures.
DietHelper may propose mediation or accept mediation where it appears appropriate.
The European online dispute resolution platform is no longer mentioned in these Terms and Conditions, as it has been closed.
51. Competent jurisdiction
In the event of a dispute not resolved amicably, the courts of Namur, Belgium, shall have jurisdiction, subject to the mandatory provisions applicable to Consumer Clients.
For Professional Clients, exclusive jurisdiction is granted to the courts of Namur, Belgium.
